Terms of Service

These terms cover your use of the OrgStatistics website and the OrgStatistics app. Please read them before you sign up. We have kept them as short and plain as we can.

This agreement

These terms are an agreement between you and OrgStatistics ("we", "us"). They apply to this website and to the app at app.orgstatistics.com (together, the "service").

If you sign up for a company or another organisation, you confirm that you may accept these terms for it. In that case "you" means that organisation, and it is our "customer". By creating an account or using the service, you agree to these terms. If you do not agree, do not use the service.

Our Privacy Policy explains how we handle personal data. It is part of these terms.

Accounts

  • Give us accurate details when you sign up, and keep them up to date.
  • Keep your sign-in details private. You are responsible for what happens in your account.
  • Tell us straight away if you think someone else has used your account.
  • You must be old enough to form a binding contract where you live, and at least 16.

Workspaces and roles

Your company's content lives in a workspace. The person who creates a workspace, and anyone they make an admin, controls it: they invite and remove users, set each user's role, and decide what each role can see and change.

  • The customer is responsible for the people it invites and the roles it gives them.
  • A user's access to a workspace depends on the customer. The customer can change or remove it at any time.
  • When you invite someone, you confirm you are allowed to give us their email address so we can send the invitation.

Acceptable use

Do not use the service to:

  • break the law, or help anyone else break it;
  • store or share content you have no right to use, or that infringes someone else's rights;
  • harass, threaten or discriminate against anyone;
  • send spam, or invite people who did not expect it;
  • upload malware, or try to get into accounts, workspaces or systems you are not allowed to access;
  • overload, probe or disrupt the service, or get around its limits or security;
  • copy, resell or rebuild the service, except as these terms allow.

If you break these rules, we may suspend or remove the content or account involved. Where we reasonably can, we will tell you first and give you a chance to fix the problem.

Your content

You own your content. Everything a customer puts in its workspace, such as org boards, statistics, policies, procedures, checklists, training, glossary terms, ethics records and routing form entries, stays the customer's.

You give us permission to host, store, copy, display and process your content only as needed to run the service for you, to keep it secure, and to support you. We do not use your content for any other purpose.

You are responsible for your content and for having the right to add it. If it includes personal data about your staff or others, you are the controller of that data and we process it for you, as our Privacy Policy explains.

You can delete your content at any time while your workspace is active. If you send us feedback or ideas, we may use them without owing you anything.

AI features

Some features use artificial intelligence. They only work if you connect your own account with an AI provider by adding your own API key.

  • When you use an AI feature, the content needed for that request is sent to your chosen provider.
  • Your agreement with that provider governs its use of your content, and any fees it charges you. We are not responsible for the provider.
  • AI output can be wrong or incomplete. Review it before you rely on it or publish it to your team.
  • You can remove your key at any time, and the AI features stop.

Our service and property

We own the service, including its software, design and name. These terms give you the right to use the service while you follow them. They do not transfer any ownership to you. We may improve, change or remove features over time.

Plans and fees

Some parts of the service may be free, and some may need a paid plan. Before you pay for anything, we will show you the price and what it includes. Paid plans are also subject to the terms shown when you buy them.

Availability and no warranty

We work to keep the service running and your content safe. But we cannot promise that the service will always be available, error-free or uninterrupted, or that content will never be lost. Keep your own copies of anything important.

To the extent the law allows, the service is provided "as is" and "as available", without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose and non-infringement.

Limit of liability

To the extent the law allows:

  • We are not liable for indirect, incidental, special or consequential losses, or for lost profits, revenue, data or goodwill.
  • Our total liability for all claims about the service is limited to the greater of the amount you paid us for the service in the 12 months before the claim, or 100 US dollars.

Nothing in these terms limits liability that cannot be limited by law, such as liability for fraud, or for death or personal injury caused by negligence.

You agree to cover our reasonable losses if a third party brings a claim against us because of your content or your breach of these terms.

Ending the agreement

  • You can stop using the service and close your account or workspace at any time.
  • We may suspend or close an account or workspace that seriously or repeatedly breaks these terms, or when the law requires it.
  • If we decide to stop offering the service, we will give customers reasonable notice so they can keep copies of their content.

When a workspace is closed, we delete its content as described in our Privacy Policy. Sections that by their nature should last, such as ownership, the limit of liability and governing law, continue after the agreement ends.

Changes to these terms

We may update these terms. The date at the top shows the current version. If a change is significant, we will tell customers by email or in the app before it takes effect. If you keep using the service after that, the new terms apply. If you do not agree, you can stop using the service.

Governing law

These terms are governed by the law that applies where OrgStatistics is established, without regard to conflict of law rules. If you are a consumer, you keep any protections the law of your home country gives you.

If any part of these terms cannot be enforced, the rest still applies. If we do not enforce a right straight away, we have not given it up. You may not transfer these terms without our consent. We may transfer them as part of a merger or sale of the business.
